ERIKS General Compliance Statement

At ERIKS, we endeavor to cultivate a culture and business approach that reflects our commitment to complying with applicable laws and regulations across the markets in which we operate. We will not tolerate conduct that contravenes our core values or standards. Our comprehensive compliance framework aims to uphold legal and compliance standards across our operations, with periodic review and refinement of policies, procedures, and internal controls where appropriate.

Compliance Program

Our compliance program is built on our Code of Conduct and a suite of supporting compliance policies and procedures which are promoted by our Management Board, local management teams (MTs) and other senior management. This comprehensive set of policies and procedures encompasses key areas such as anti-corruption, trade compliance, privacy, conflicts of interest, gifts and hospitality, fair competition and whistleblowing. These policies are communicated to relevant employees, implemented in the organization, periodically reviewed and updated, and supported by training programs. Periodic management oversight of compliance with these policies and procedures is carried out through our internal control framework and other regular reporting mechanisms.

 

Code of Business Conduct

The ERIKS Code of Business Conduct serves as the foundation for conducting business responsibly at ERIKS. It reflects our commitment to lawful and responsible business practices, integrity, respect for human rights, and ethical conduct in all our interactions. Employees are expected to sign this Code upon joining ERIKS and as appropriate when significant updates are made.

 

Supplier Conduct

ERIKS values responsible and lawful behavior from its suppliers and business partners. The ERIKS Code of Conduct for Business Partners outlines expectations regarding fair competition, anti-bribery and corruption, respect for human rights, health and safety, environmental protection and trade compliance. All ERIKS suppliers must acknowledge the ERIKS Code of Conduct for Business Partners as part of our supplier onboarding process. Additionally, the ERIKS Code of Conduct for Business Partners is an integral part of our standard contract templates and we engage with suppliers to support alignment with the ERIKS Code of Conduct for Business Partners.

 

Speak-Up Culture

ERIKS promotes a culture in which employees feel empowered to raise concerns. Circumstances which cannot be discussed with the relevant manager, can be reported confidentially through our Speak-Up line. Reports are handled objectively, with appropriate care and confidentiality under the supervision of the Group General Counsel, and may be delegated to local Ethics & Compliance Officers or other departments, where appropriate.

 

Conflict of Interest Policy

Our Conflict of Interest Policy outlines when a conflict of interest might arise between ERIKS and any individual. It also provides guidance on avoiding conflicts of interest in our daily activities and tasks and to ensure openness and transparency whenever actual, perceived, or potential conflicts of interest arise.

 

Gifts & Hospitality Policy

ERIKS prohibits any conduct that involves promising or offering directly or indirectly money or other benefits to private persons or public employees that may result in an improper or illegal interest or advantage for ERIKS. The same prohibition applies for the receiving of money or other benefits by ERIKS’ employees. ERIKS maintains a Gifts and Hospitality Policy that outlines the process and offers practical guidance on giving and accepting gifts or hospitality to/from customers, suppliers and other business partners. The policy provides guidance to help support compliance with legal requirements and ERIKS’ internal standards.

 

Privacy Policies

To support compliance with the EU General Data Protection Regulation (GDPR) and other applicable privacy laws, ERIKS has implemented a privacy framework, covering privacy statements, data protection agreements, data processing procedures, data breach management, and other means of safeguarding of personal information.

 

Competition Manual

ERIKS is committed to fair competition and adherence to competition laws and regulations in all jurisdictions where we operate. Our Competition Manual provides guidance on avoiding illegal anti-competitive behavior.

 

Trade Compliance

Trade compliance (i.e. sanctions and export controls) is a core part of ERIKS’ daily, global operations. ERIKS has implemented policies and procedures, training and internal monitoring, designed to comply with applicable international sanctions and export/import control laws. We have procedures in place for using agents, distributors, and other third parties. Additionally, our Third Party Screening procedure is designed to help verify that ERIKS is not conducting business with sanctioned persons and acts in alignment with the principles set out in our Code of Conduct.

 

Product Compliance

Our product compliance department monitors relevant legislation applicable in the regions where we operate, including but not limited to EU REACH, EU POP and EU RoHS. In collaboration with our product management and procurement teams, it helps supporting accurate product descriptions aligned with applicable legal requirements. Our compliance activities include assessments related to the presence of specific substances (such as PFAS) in ERIKS products and the issuance of specific product compliance declarations.

 

ESG

ERIKS has a dedicated Environmental, Sustainability and Governance (ESG) lead who supports (i) our businesses in meeting applicable ESG obligations , (ii) our customers and other business partners in achieving their sustainability goals and (iii) other ESG initiatives within ERIKS.

 

Human Rights

ERIKS recognizes the importance of respecting and promoting human rights throughout our supply chain. We are committed to progressively strengthening our approach in this area, including identifying and addressing key risks such as occupational health and safety, forced labor, child labor, and harassment. We are integrating human rights considerations into our internal practices and supply chain processes, in line with internationally recognized frameworks such as the ILO conventions and the UN Global Compact.

Overall, I believe that our compliance framework provides a solid foundation for conducting ERIKS’ global business responsibly and in accordance with applicable standards, thereby supporting long-term value creation for all our stakeholders.
